General Terms and Conditions of Sale
The contractual framework that applies to every order for a service or product placed with TrafixIA. Read, understood, and accepted without reservation by anyone placing an order.
1. Preamble and scope
These General Terms and Conditions of Sale (hereinafter the "Terms of Sale") govern all contractual relations between TrafixIA (hereinafter "the Provider") and any business client (hereinafter "the Client") ordering a service or product listed on the website https://trafixia.com.
Any order implies full and unreserved acceptance of these Terms of Sale, which prevail over any purchasing terms of the Client, unless expressly agreed otherwise in writing by the Provider. The applicable Terms of Sale are those in force on the date of the order.
The Provider serves business clients exclusively (B2B). These Terms of Sale do not apply to consumers within the meaning of applicable consumer protection laws.
2. Identification of the Provider
TrafixIA — an AI development and process automation agency for SMEs. Full company details (legal form, registration numbers, registered office) are provided in the website's legal notice.

3. Definitions
- Fixed-price product: a service at the list price published on the website (AI Survival Diagnostic at €997 incl. VAT, AI E-commerce Analysis at €897 incl. VAT).
- Software product: an annual license for the TrafixPress plugin (€87/year, €197/year, or €997/year incl. VAT depending on the chosen plan: Single — 1 site, Pro — 3 sites, or Unlimited — unlimited sites).
- Quoted service: engagements whose scope and price are set contractually after a scoping call (AI Audit & Mapping, Process Automation, Custom AI Ecosystem, 90-Day Program, Fractional AI CTO).
- Scoping call: a phone or video call held prior to any quoted service. Free of charge, with no commitment.
- Deliverable: any document, code, workflow, configuration, or material produced by the Provider in the course of an engagement.
4. Quotes and orders
4.1 Fixed-price products and software licenses
Orders are placed by direct payment through the payment methods offered on the website or by bank transfer. Placing an order constitutes full and unreserved acceptance of these Terms of Sale and of the service description as presented on the relevant product page.
4.2 Quoted services
Every quoted service gives rise to a written quote, valid for 30 days, specifying: the scope, the deliverables, the schedule, the firm price, the payment terms, and the respective commitments of the parties. The order becomes firm upon signature of the quote or upon receipt of the Client's purchase order, accompanied by payment of the deposit where applicable.
5. Prices and payment terms
All prices are stated in euros inclusive of all taxes, excluding any travel expenses (re-invoiced at actual cost upon supporting documents, subject to the Client's prior approval).
- AI Survival Diagnostic and AI E-commerce Analysis: full payment at the time of order, by bank card or transfer. Invoice issued immediately.
- TrafixPress licenses: full payment at the time of order, immediate activation upon receipt of payment.
- AI Audit & Mapping and Process Automation: 30% upon signature, balance upon delivery of the final deliverable.
- Custom AI Ecosystem and 90-Day Program: 30% upon signature, 30% at the midpoint, 40% upon delivery. Payment in 3 monthly installments is available for the 90-Day Program.
- Fractional AI CTO: monthly invoicing in arrears, payment due 30 days end of month.
Purchase orders are accepted for companies that require them, provided the request is made before placing the order. Any late payment automatically incurs, without prior formality, a penalty equal to three times the applicable statutory interest rate, plus any fixed recovery costs permitted by applicable law.
6. Timelines and performance terms
Announced timelines are best-efforts commitments. The contractual timelines are those stated in the quote for quoted services, or those announced on the product page for fixed-price products:
- AI Survival Diagnostic: report delivered within 7 business days of the order, video debrief within the following 5 days.
- AI E-commerce Analysis: report delivered within 7 business days of the order, video debrief within the following 5 days.
- Process Automation: production rollout within 30 calendar days of quote signature.
- AI Audit & Mapping: delivery within 15 to 20 days after the immersion days.
- Custom AI Ecosystem: 60 to 120 days depending on the contracted scope.
- 90-Day Program: 90 calendar days from signature.
Any delay attributable to the Client (lack of response, unavailability of contact persons, data not provided) suspends the Provider's contractual deadlines.
7. Client's obligations
The Client undertakes to:
- Provide all information and data necessary for the proper performance of the engagement, within the agreed timeframes.
- Appoint a single point of contact with the authority required to approve interim and final deliverables.
- For immersive services (Audit, Ecosystem, 90-Day Program): make the necessary staff available, within the framework agreed in the quote.
- For Fractional CTO engagements: grant access to executive committees and internal management tools.
- Pay invoices within the contractual deadlines.
8. Provider's obligations
The Provider undertakes to:
- Perform the services with the care and diligence of a leading professional in its field.
- Assign experienced senior consultants; no offshore subcontracting is practiced.
- Keep the Client informed of progress and report any risk that could affect the engagement.
- Maintain the confidentiality of all information provided (see Article 9).
- Honor the specific guarantees attached to each product (see Article 10).
9. Confidentiality and intellectual property
9.1 Confidentiality
All information exchanged in the course of an engagement is strictly confidential. A formal confidentiality agreement is signed at the time of the order, covering the data, processes, methods, know-how, and any sensitive information provided by the Client.
The Provider does not publicly name any client. No client data is used to train any AI model — neither the Provider's own nor that of any third-party vendor.
9.2 Intellectual property in deliverables
Upon full payment, the Client becomes the owner of the deliverables produced specifically for it: source code, workflows, configurations, documentation, reports. None of our systems makes the Client dependent on the Provider.
The Provider nevertheless retains ownership of the methods, frameworks, reference models, and internal tools used to produce the deliverables. The Client is granted a perpetual right of use over these elements within the scope of the deliverables provided to it.
9.3 TrafixPress licenses
The TrafixPress license is granted for 12 months from activation, valid for the number of sites corresponding to the chosen plan. It does not entail any transfer of the intellectual property rights attached to the software. Renewal is optional, with no tacit renewal commitment.
10. Guarantees
Each offer comes with a specific guarantee that is expressly binding on the Provider:
- AI Survival Diagnostic and AI E-commerce Analysis: full refund if, following the debrief, the Client considers that the report provides no actionable insight. The request must be made by email within 14 days of the debrief. No justification, no form, no processing time beyond the refund transfer.
- Process Automation: 30-calendar-day guarantee after production rollout. Any adjustment required by real-world use is included during this period.
- Custom AI Ecosystem: if, 6 months after delivery, the Client considers that the ecosystem does not deliver on its operational promises, the Provider undertakes to return on site, at its own expense, until the issue is resolved.
- 90-Day Program: if, at the end of the 90 days, the 2 automated processes are not in production and in use, the Provider extends the program at its own expense until they are. This guarantee is conditional on the Client meeting the availability obligations set out in the quote.
- TrafixPress: technical support included for the entire duration of the license. All updates for the year are included.
These guarantees apply automatically, with no particular step required from the Client other than written notice to the contact address.
11. Liability
The Provider is bound by a best-efforts obligation. Its liability may only be incurred for direct and foreseeable damages resulting from a proven fault in the performance of the service.
In any event, the Provider's liability is limited to the total amount, excluding taxes, actually paid by the Client for the service in question over the last 12 months.
The Provider shall not be held liable for indirect consequences, including loss of revenue, loss of margin, loss of the Client's data, damage to reputation, or intangible or consequential damages.
12. Termination
For fixed-scope services (Diagnostic, E-commerce Analysis, Audit, Automation, Ecosystem, 90-Day Program), no unilateral termination is possible once the order has been placed, except in the event of a serious and persistent breach by the other party after a formal notice to remedy has remained without effect for 15 days.
For the Fractional AI CTO engagement: minimum commitment of 6 months, terminable by either party with 2 months' notice, by written notice with proof of receipt.
For TrafixPress licenses: no renewal commitment. The Client is free to choose not to renew at the annual expiry date.
13. Force majeure
Neither party may be held liable for a failure to perform its obligations in the event of force majeure — meaning any event beyond a party's reasonable control that could not reasonably have been foreseen and whose effects cannot be avoided by appropriate measures. The affected party shall inform the other as soon as possible, and the parties shall seek in good faith a solution allowing performance to resume.
14. Personal data
The processing of personal data carried out in the course of performing the services is described in the privacy policy. The Client warrants that it has obtained, where necessary, the consents required to provide the Provider with the data needed for the engagement.
15. Changes to the Terms of Sale
The Provider reserves the right to amend these Terms of Sale at any time. The Terms of Sale applicable to an order are those in force on the date of that order, as published on the website. Subsequent changes do not apply retroactively to orders in progress.
16. Governing law and jurisdiction
These Terms of Sale are governed by the laws of the jurisdiction in which the Provider's registered office is located.
In the event of a dispute, the parties shall first endeavor to reach an amicable solution. Failing agreement within 30 days of notification of the dispute, and in keeping with the exclusively business-to-business nature of the relationship, any dispute relating to the interpretation or performance of these Terms of Sale shall fall under the exclusive jurisdiction of the courts of the place where the Provider's registered office is located.
